License

This license is a legal agreement between the Licensee (as defined below) and Benns Software Ltd for the use of Hedge UI.

By purchasing, installing, or using Hedge UI, you agree to be bound by the terms and conditions of this License Agreement.

Benns Software Ltd reserves the right to alter this agreement at any time, for any reason, without notice.

Definitions

  • Licensee is the individual or business entity who has purchased a license.
  • Software are the files comprising Hedge UI.
  • End Product is any artifact product that incorporates the Software or derivatives of the Software.
  • End User is a user of an End Product.
  • Client is an individual or entity receiving custom professional services directly from the Licensee, produced specifically for that individual or entity.
  • Employee is a full-time or part-time employee of the Licensee.
  • Contractor is an individual or business entity contracted to perform services for the Licensee.

Permitted Use

Single License

The single license permits one Employee or Contractor to access and modify the underlying codebase.

Team License

The team license permits 10 Employees or Contractors to access and modify the underlying codebase.

Permissible Actions:

  • Use the Software to create unlimited commercial or internal End Products.
  • Use the Software to create unlimited End Products for unlimited Clients, provided the End Product is owned by the Licensee.
  • Use the Software to create End Products where the End Product is sold to End Users.
  • Sell the End Products. The License will survive the sale of the End Product.

Prohibited Actions:

  • Use the Software to create End Products that are designed to allow an End User to build their own End Products using the Software or derivatives of the Software.
  • Use the Software to create an End Product that is not owned by the Licensee.
  • Re-distribute the Software or derivatives of the Software separately from an End Product.
  • Use the Software to create End Products that are open source and freely available to End Users.
  • Share your access to the Software with any other individuals.

Liability

Benns Software Ltd and the authors or copyright holders of the Software shall not be liable to you for any costs, damages, or other losses arising from your use of the Software, including third-party claims against you or any consequential damages. You assume all risk associated with the installation and use of the Software. License holders are solely responsible for determining the appropriateness of use and assume all risks associated with its use, including but not limited to the risks of program errors, damage to equipment, loss of data or software programs, or unavailability or interruption of operations. In no event shall the authors, copyright holders, or Benns Software Ltd be liable for any claims, damages, or other liability arising from, out of, or in connection with the Software.

Indemnity

You agree to indemnify and hold harmless Benns Software Ltd and its resellers for any third-party claims, actions or suits, as well as any related expenses, liabilities, damages, settlements or fees arising from your use or misuse of the Software, or a violation of any terms of this license.

Warranty

The Software is provided “as is”, without warranty of any kind, expressed or implied, including, but not limited to, warranties of quality, performance, non-infringement, merchantability, or fitness for a particular purpose. Further, Benns Software Ltd does not warrant that the software or any related service will always be available.

Refunds

Due to the non-returnable nature of this product, we do not offer refunds.

General Provisions

This license is governed by the laws of The United Kingdom. If any provision of this license is to be held unenforceable, such holding will not affect the validity of the other provisions hereof. Failure of a party to enforce any provision of this license shall not constitute or be construed as a waiver of such provision or of the right to enforce such provision. This license represents the entire understanding between the parties with respect to its subject matter.
